Debra S. Friedman

Debra Friedman provides counsel to clients in the areas of real estate transactions, small business matters, and commercial finance.

Ms. Friedman’s real estate experience extends from due diligence through closing and includes:

  • Representation of home buyers and sellers, developers and builders in a simple to complex residential and commercial transactions.
  • Acquisition, disposition and financing transactions.

  • Negotiating, drafting and reviewing contracts,

    amendments, security documents and other documents ancillary to real estate transactions.

  • Representation of landlords in landlord/tenant matters. 

Ms. Friedman’s practice also includes the representation of national, regional and community financial institutions in commercial loan transactions, including:

  • Acquisition, development, and financing.

  • Asset-based lending.

  • Construction to permanent loans.

Ms. Friedman is experienced in negotiating and drafting loan documents, including commitment letters, loan agreements, security instruments, and ancillary documents, and all facets of due diligence.

Ms. Friedman also provides counsel to business owners on a variety of matters, including formation, compliance and other related areas. She has experience negotiating, drafting and reviewing documents and agreements required for business formation as well as day-to-day operations, including employment agreements, operating agreements, form contracts, and business agreements.

Prior to attending law school, Ms. Friedman worked in retail banking where she held several positions, including Branch Manager and Manager of Training and Employment. As Manager of Training and Employment, she developed and implemented the bank’s recruiting program and created and delivered training programs to develop staff and management and ensure bank compliance with applicable rules and regulations.
